1
Subject-matter scope of the GTC
These GTC cover every legal relationship in the framework of which the Company performs the sale of goods
for consideration to the customer (hereinafter: the Customer) (hereinafter: the Goods).
2
Personal scope and field of application of the GTC
2.1.
These GTC govern every legal relationship between the Company and its Customer (hereinafter collectively: the Parties).
2.2.
The legal relationship between the Parties is governed – in addition to statutory provisions – by the GTC and by any other written agreement
that may have been concluded between the Parties (hereinafter: Individual Contract). If there is a difference between the GTC and any other agreement
between the Parties, the other written agreement shall apply between the Parties and shall take precedence. (The Individual Contract and the GTC
hereinafter together jointly as the Service Contract).
2.3.
The Customer shall be deemed to have expressly accepted these GTC if the Company sent the GTC to the Customer as part of the Quotation
or attached to it, and the Customer thereafter orders the Goods in writing – in particular by electronic mail. The Parties record that sending the order
by the Customer constitutes full acceptance of the GTC.
2.4.
The Customer shall be deemed to have accepted these GTC by implied conduct in particular where the GTC applied by the Company
have already been sent to the Customer in the course of a previous business relationship, and, being aware of this, the Customer places a new order
or accepts the Company’s Quotation without having objected in writing to the application of the GTC.
2.5.
The Company ensures that the Customer may become acquainted with the content of these GTC in an appropriate manner before concluding the contract.
To this end the Company sends these GTC as part of the Quotation or attached to it by electronic mail, keeps them continuously available on the Company’s website,
and, at the Customer’s express request, sends them again by electronic mail.
3
Order, quotation and formation of the contract
3.1.
In respect of movables sold by the Company the Customer may indicate its intention to purchase solely by a written enquiry or order request
sent to the Company by electronic mail (e-mail) (hereinafter: the Order).
3.2.
The Order does not constitute an offer, but solely an invitation on the part of the Customer for the Company to prepare a quotation
on the basis of the given requirements.
3.3.
On the basis of the Order the Company is entitled to send a quotation to the Customer in writing by electronic mail (hereinafter: the Quotation).
The technical and quality parameters indicated in the Quotation – in particular alloy grade, thickness, width and length – are exclusively
decisive for contractual performance. The Customer is obliged, after receipt of the Quotation, to check its content item by item and with due care,
with particular regard to the quantitative, qualitative and technical characteristics of the Goods.
If the Customer notices any deviation, inaccuracy or error in the content of the Quotation, the Customer is obliged to notify the Company of it
in writing without delay, but at the latest before accepting the Quotation. If the Customer fails to fulfil this obligation, the Company is entitled
to regard the Quotation as corresponding in every respect to the Customer’s intention, provided that the Customer accepted the Quotation with the content
set out therein. The Customer may not raise a subsequent objection in this regard, and the Company bears no liability for deviations attributable
to the data contained in the Quotation.
3.4.
Under the provisions of the Civil Code the Quotation constitutes a legal statement and an offer of the Company.
The period of validity of the Quotation is set out in the Quotation.
3.5.
A contract for the sale of the Goods is formed between the Parties only if the Customer expressly accepts the Quotation
in writing by e-mail within its period of validity.
3.6.
The Order, the Quotation and its acceptance take place by electronic mail. The Parties agree that legal statements sent in this manner
shall be deemed delivered in the 60th minute from sending.
3.7.
Upon acceptance of the Quotation by the Customer a contract of sale is formed between the Parties, under which the Company is the seller of the Goods
and the Customer is the buyer of the Goods.
3.8.
The Customer expressly acknowledges and accepts that, in order to ensure the uninterrupted operation of the automated manufacturing processes
applied by the Company, after the confirmation sent by the Company in writing by electronic mail the Customer is entitled to modify or cancel
its Order only until production has started.
The Customer expressly accepts and acknowledges that after the time production has started the Order may not be modified or cancelled,
either in part or in whole.
The Customer declares that it expressly accepts the limitations set out in this point when placing the Order, and that it will not enforce
any claim, demand or objection against the Company in connection with them.
3.9.
On the basis of the contract of sale formed, the Customer is obliged to take delivery of the Goods in accordance with the provisions of these GTC
and the accepted Customer order, and to pay the Purchase Price to the Company on the terms specified therein.
4
Purchase price and settlement between the Parties
4.1. The Company and the Customer agree on the Purchase Price of the Goods by the Customer’s written acceptance of the Quotation, which agreement covers in particular the price of the Goods, the costs of delivery, and the period of validity of the prices.
4.2. The prices applied by the Company qualify as daily prices. The Company determines and charges the consideration for the Goods in forints (HUF) or in euro (EUR).
4.3. The Customer expressly acknowledges that if a significant exchange-rate change occurs between the date of confirmation of the Order and the date of actual performance or dispatch, the Company is entitled to determine and apply the consideration for the Goods using the daily price applicable on the date of performance.
4.4. After handover of the Goods the Company issues an invoice, which is paper-based and which it delivers to the Customer electronically in PDF form. If the Customer indicates separately, the invoice will also be sent by post.
4.5. At its own sole discretion the Company is entitled, in the case of continuous delivery, to issue a monthly collective invoice. The document evidencing receipt of the Goods is in every case the underlying record for issuing the invoice.
4.6. The Customer is obliged to pay the Purchase Price within 8 days of taking delivery, by transfer to the Company’s bank account. The transfer is deemed performed when the amount is credited to the Company’s bank account.
4.7. In the event of the Customer’s delay in payment the Customer is obliged to pay the Company default interest at the rate of 0.1% per day on the unpaid Purchase Price for the entire duration of the delay.
4.8. If the Customer qualifies as a business, and falls into delay in payment in respect of the Purchase Price or any part of it, then as a legal consequence of the delay – in addition to default interest – the Customer is obliged to pay the Company a recovery lump sum of a forint amount equivalent to EUR 40 (forty) under Act IX of 2016 on the recovery lump sum.
4.9. The Parties agree that if the Customer has fallen into delay in payment in respect of any previous invoice, the Company is entitled to enforce the costs incurred and enforceable in connection with the delay, including in particular but not limited to default interest and the recovery lump sum, on the invoice issued in connection with the Customer’s next purchase, and to indicate and claim them in the invoice.
4.10.
The Parties record that title to the Goods remains with the Company until the Customer has paid in full the entire Purchase Price of the Goods
and all related incidental costs – including in particular but not limited to default interest and other costs arising in connection with the legal relationship.
During the period of retention of title the Customer is not entitled to alienate, encumber, pledge, resell the Goods, or to give them into the use or possession
of a third party, and is obliged to refrain from any conduct that would infringe or endanger the Company’s ownership rights.
5
Delivery and passing of risk
5.1. Upon taking delivery of the Goods the Buyer is obliged to examine the Goods item by item, from a quantitative and qualitative point of view, and to satisfy itself that they correspond to the contents of the order confirmation.
5.2. The Customer expressly acknowledges and accepts that the Goods performed by the Company are deemed to be in conformity with the contract if they meet the quality requirements according to standard EN 10204.
5.3. The Company is obliged to accept a complaint only if the fact of damage, shortage or external injury noticed upon taking delivery of the Goods has been recorded in writing, clearly, by the Buyer on the transport document issued by the Company or the carrier (in particular but not limited to a consignment note or a receipt of receipt). If recording on the transport document is omitted, the Company assumes no liability for damage arising from transport.
5.4. The Buyer is obliged to report to the Company in writing by electronic mail, at the latest within 2 (two) working days of taking delivery, every dimensional, quality or other defect or deviation relating to the Goods that is noticeable upon taking delivery. If the above time limit is missed, the Company is not obliged to accept a complaint, and the Buyer is not entitled to enforce a claim in this regard.
5.5.
The Parties record that the risk of loss relating to the Goods – including in particular but not limited to the risk of destruction, loss, damage or depreciation of the Goods –
passes to the Customer in connection with taking delivery of the Goods as follows:
5.5.1. if the Goods are transported by the Company, the risk of loss passes to the Customer at the time the Goods are taken over by the Customer;
5.5.2. if the Goods are collected by the Customer in person or through a person commissioned by the Customer, the risk of loss passes to the Customer at the time the Goods are taken over at the Company’s premises;
5.5.3. if the Goods are transported by a third-party service provider commissioned by the Company, the risk of loss passes to the Customer at the time the Goods are taken over by the Customer.
6
Other provisions
6.1. The Company is entitled to amend the provisions of these GTC unilaterally at any time. An amendment of the GTC enters into force on the date of its entry into force; in the absence of a specified date of entry into force, an amendment of the GTC enters into force on the 15th day following publication on the Company’s website or sending of the GTC amendment to the Customer.
6.2. By registering on the website www.alucut.hu operated by the Company the Customer expressly, voluntarily and after being appropriately informed consents to the Company sending business information, newsletters, and information relating to the Company’s activity, products and services to the electronic mailing address (e-mail address) provided during registration.
The Customer acknowledges that it is entitled to withdraw the consent given to sending newsletters at any time, without stating reasons,
free of charge, in particular through the unsubscribe link placed in the newsletters or by a written statement to that effect sent to the Company,
which withdrawal is effective for the period following the withdrawal.
The Parties record that the withdrawal of consent does not affect the contractual relationship existing between the Customer and the Company,
or its performance.
6.3. The legal relationship between the Customer and the Company is governed by the law of Hungary. Matters not expressly regulated in these GTC are governed by Act V of 2013 on the Civil Code and the other provisions of Hungarian law in force at the time this contract is concluded.
6.4. For the settlement of any legal dispute arising from or in connection with this contract – including disputes relating to the existence, validity, interpretation or termination of the contract – the Parties stipulate the jurisdiction of Hungary. Of the courts having subject-matter competence – by virtue of their right under Section 27(1) of Act CXXX of 2016 on the Code of Civil Procedure – the Parties submit themselves to the exclusive territorial jurisdiction of the District Court for Districts II and III of Budapest.
6.5. These GTC are effective from 12 January 2026 for every legal relationship falling under these GTC.
